01Who We Are
ChiefRainmaker.com is operated by Profit Worldwide, Inc., a Nevada corporation ("PWI," "we," "us," or "our"). PWI operates several brands, including Chief Rainmaker, RainWorks, Rain Engine, XLR, XLR OS, LinkedIn Recruiting Engine and OBEYY Protocol.
These Terms apply to ChiefRainmaker.com, its subpages, and any related site, form, booking page, email, community or service that links to these Terms (together, the "Sites" and the "Services"). The same Terms also govern XLRHub.com and its related sites.
Our Privacy Policy and Disclaimer are part of these Terms by reference.
02Accepting These Terms
By visiting the Sites, submitting a form, booking a call, creating an account, or purchasing anything from us, you agree to these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company or other organization, you confirm you have authority to bind it, and "you" includes that organization.
The Services are not directed to children, and we do not knowingly sell to or collect information from anyone under 18.
03Changes to These Terms
We may update these Terms from time to time. When we do, we will change the "Last Updated" date above and, for material changes, may also notify you by email or by a notice on the Sites. Changes take effect when posted. Continuing to use the Services after that means you accept the updated Terms.
Changes to the arbitration section will not apply to disputes that arose before the change. The terms in effect when you made a purchase continue to govern that purchase.
04Our Services
Through ChiefRainmaker.com, PWI offers strategy and consulting services, including fractional CMO engagements, and done-for-you implementation services such as RainWorks and the Rain Engine. We also link to our digital products, programs and books on our other sites.
Consulting and done-for-you engagements. Engagements are scoped individually. The fees, deliverables, timelines, guarantees, credits and performance terms that apply to an engagement are those stated in the written proposal, order form or consulting agreement you accept (the "Engagement Agreement"). If an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement. If no Engagement Agreement exists, these Terms apply.
Descriptions on the Sites. Service descriptions, prices, timelines and examples on the Sites (for example, on the Done For You page) are general information and an invitation to talk, not a binding offer. Prices and offers may change before you sign. What you buy is what your Engagement Agreement or checkout page says.
Calls and inquiries. Booking a strategy call or sending a message through our contact form does not create a client relationship or any obligation on either side.
Past projects. Descriptions of past companies, platforms and projects on the Sites (for example, on the Past Projects page) are historical accounts. They are not current product offers, and the platforms described may no longer operate.
05Your Responsibilities as a Client
When we work with your business, you agree to provide accurate information, timely access to the people, systems and data the work requires, and the approvals and decisions only you can make.
You remain responsible for your own business decisions; your offers, products, pricing and claims; and the campaigns, messages and content you choose to publish or send, including compliance with advertising, privacy, anti-spam and telemarketing laws that apply to you.
You confirm you have the rights and permissions needed to share any data, content, customer lists or account access you give us, and that sharing it with us does not violate any law, contract or privacy notice.
06Your License to Our Materials
When you buy a product or receive deliverables from us, PWI grants you a limited, non-exclusive, non-transferable, revocable license to use them for your own personal use or the internal use of your own business, subject to these Terms and any Engagement Agreement. Unless an Engagement Agreement says otherwise, deliverables built specifically for your business (such as your brand profile, Signal Map or diagnostic) are yours to keep and use internally, including after our engagement ends.
You own the content you create using our products and frameworks. PWI keeps ownership of its underlying frameworks, methods, skill packs, prompts, templates and know-how.
Unless we agree otherwise in writing, you may not: resell, sublicense, share or give away our materials; rebrand or re-offer them as your own product; install or operate them as a service for other businesses; use them to train or build a competing product or AI model; or remove copyright or trademark notices. Breaching this section ends your license automatically.
07AI Tools and AI Output
Many of our services and products, including RainWorks, the Rain Engine and XLR OS, are installed into or run on third-party AI platforms such as Claude. You need your own account with those platforms and must follow their terms. We do not control those platforms and are not responsible for changes to their features, pricing, availability or policies.
AI output can be inaccurate, incomplete, outdated or unsuitable, even when our products are used exactly as instructed. You are responsible for reviewing and fact-checking output before relying on it, publishing it or sending it. Do not enter information into AI tools that you are not permitted to share.
PWI is independent and is not affiliated with, sponsored by or endorsed by Anthropic or any other AI provider unless we expressly say so.
08Payments and Subscriptions
Prices are in U.S. dollars unless stated otherwise. Payments are processed by third-party providers. By paying, you authorize us and our providers to charge the payment method you provide for the amount stated, plus applicable taxes.
Recurring fees, retainers and subscriptions renew on the terms stated in your Engagement Agreement or at checkout until cancelled as those terms allow. Payment plans are a fixed total paid in installments, not a subscription, and every installment must be paid.
If a payment fails, we may pause work or suspend access until it is resolved. Please contact us at info@profitworldwide.net before disputing a charge with your bank; we will try to fix it quickly. Filing a chargeback for something you received may result in losing access to all Services.
09Refunds
Consulting and done-for-you fees are governed by your Engagement Agreement, including any credits, guarantees or cancellation terms it contains.
All sales of digital products are final unless the sales page or checkout page for that product states a guarantee or refund window, in which case that stated policy controls.
Cancelling a subscription stops future renewals but does not refund a period that has already started, unless the offer says otherwise or the law requires it.
10No Guaranteed Results
We do not promise or guarantee any particular income, revenue, leads, appointments, sales, recruits or other business results. Your results depend on your offer, your market, your team, your execution and many factors outside our control. Any guarantee we do offer applies only as written in your Engagement Agreement.
Case studies, past results, testimonials and recommendations shown on the Sites (including LinkedIn recommendations) describe particular situations and are not typical or a promise of what you will achieve. See our Disclaimer for more.
Nothing on the Sites is legal, tax, accounting, financial, investment or medical advice. Consult a qualified professional for those.
11Affiliate Links
Some links on the Sites are affiliate links. If you buy through them, PWI may earn a commission at no extra cost to you. We only recommend things we believe are useful, but you should make your own evaluation.
12Email and Text Messages
If you give us your email address, for example through our contact form or a booking, you agree that we may email you about your inquiry and send newsletters, updates and offers. You can unsubscribe from marketing emails at any time using the link in any email.
If you give us your mobile number and agree to receive texts, you consent to receive recurring marketing and informational text messages from PWI at that number, which may be sent using automated technology. Consent is not a condition of purchase. Reply STOP to opt out or HELP for help. Message and data rates may apply.
13Intellectual Property
The Sites and Services and everything in them, including text, frameworks (such as the Code of Rain), methods, course material, skill packs, prompts, software, graphics, logos, images, video, audio, and the design and arrangement of the Sites, are owned by PWI or its licensors and are protected by U.S. and international copyright, trademark and other laws.
You may view the Sites and print a reasonable number of pages for your own non-commercial reference. Otherwise, you may not copy, reproduce, distribute, display, modify, create derivative works from or commercially use any of it without our written permission.
If you send us ideas, suggestions or feedback, we may use them freely without obligation to you.
14Trademarks
Profit Worldwide, PWI, Chief Rainmaker, Gil Ortega, Code of Rain, RainWorks, Rain Engine, XLR, XLR Hub, XLR OS, AffiliateXLR, LinkedIn Recruiting Engine, OBEYY and OBEYY Protocol, and related names, logos and designs, are trademarks of PWI. You may not use them without our prior written permission.
Other names and marks mentioned on the Sites, including the names of past platforms and the companies and brands we have worked with, belong to their respective owners and are used for identification and historical reference only. Their mention does not imply endorsement. The LinkedIn Recruiting Engine is an independent training program and is not affiliated with or endorsed by LinkedIn Corporation.
15Acceptable Use
You agree to use the Services lawfully and not to: break any law, including anti-spam, telemarketing, consumer protection and privacy laws; send unsolicited bulk messages; make false or misleading claims; impersonate anyone; target or collect information from minors; scrape, copy or harvest the Sites or Services by automated means; access or attempt to access systems or accounts without authorization; interfere with or circumvent security or access controls; submit spam, malware or abusive content through our forms; or use the Services in a way that could harm PWI, our clients or anyone else, or expose them to liability.
16Communities and Your Contributions
Some Services include communities, live sessions or places to post content. Please be respectful, stay on topic and respect the confidentiality of other members. Do not post anything unlawful, defamatory, harassing, obscene, misleading or infringing, or any promotion we have not approved.
You keep ownership of what you post or submit ("Contributions"), but you grant PWI a worldwide, royalty-free, non-exclusive license to host, use, reproduce, display and share your Contributions in connection with operating and promoting the Services.
Live sessions may be recorded and shared with members. If you do not want to appear, turn off your camera and microphone or let us know before the session. We may remove Contributions or members at our discretion.
17Copyright Complaints
We respect intellectual property rights and respond to notices under the Digital Millennium Copyright Act. If you believe content on the Sites infringes your copyright, send our Copyright Agent a notice that includes: your physical or electronic signature; identification of the copyrighted work; identification of the material you claim is infringing and where it is located; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner.
If your content was removed and you believe it was a mistake, you may send a counter-notice meeting the requirements of 17 U.S.C. § 512(g)(3). Knowingly misrepresenting infringement may make you liable for damages. We may terminate the accounts of repeat infringers.

18Third-Party Services and Links
The Sites use and link to third-party websites, tools and platforms, including our website host, contact-form and scheduling tools, testimonial and review widgets, payment processors, email and text messaging providers, AI platforms and social networks. We do not control them and are not responsible for their content, policies, availability or practices. Your use of them is governed by their own terms and privacy policies.
19Disclaimer of Warranties
The Services, and all products, deliverables, content and output obtained through them, are provided "as is" and "as available," without warranties of any kind, express or implied, except as expressly stated in an Engagement Agreement. To the fullest extent permitted by law, PWI disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Sites or files are free of viruses or other harmful components, or that any AI output will be accurate.
Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
20Limitation of Liability
To the fullest extent permitted by law, PWI and its affiliates, officers, directors, employees, contractors, agents, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or related to the Services or these Terms, however caused and under any legal theory, even if advised of the possibility of such damages.
Our total liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the amount you paid PWI for the Services giving rise to the claim in the 12 months before the claim arose, or (b) $100.
These limits do not apply to liability that cannot be limited by law, such as liability for fraud or gross negligence.
21Indemnification
You agree to defend, indemnify and hold harmless PWI and its affiliates, officers, directors, employees, contractors and agents from any claims, liabilities, damages, losses, costs and expenses, including reasonable attorneys' fees, arising out of or related to your breach of these Terms; your Contributions; your use of our products, deliverables or AI output; the content, campaigns or messages you create or send; any data you provide to us; or your violation of any law or third-party right.
22Disputes and Arbitration
Talk to us first. Before starting any formal proceeding, email info@profitworldwide.net describing the dispute and the resolution you want. We will both try in good faith to resolve it within 30 days.
Binding arbitration. If we cannot resolve it, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or its Commercial Arbitration Rules if you bought for a business, applying Nevada law. The arbitration may be held by video, by phone, or in person in Clark County, Nevada, or the county where you live. AAA rules govern the payment of fees.
Exceptions. Either of us may bring an individual claim in small claims court, and either of us may ask a court for an injunction to protect intellectual property.
No class actions. You and PWI each agree to bring claims only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not consolidate claims of more than one person.
Opting out. You may opt out of this arbitration agreement by emailing info@profitworldwide.net within 30 days of first accepting these Terms, with your name, your email address and a clear statement that you are opting out. If you opt out, or if the class action waiver is found unenforceable for a claim, that claim will be resolved in court under Section 23.
23Governing Law and Venue
These Terms and any dispute arising from them or from the Services are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules. Any dispute not subject to arbitration will be heard exclusively in the state or federal courts located in Clark County, Nevada, and you and PWI consent to personal jurisdiction there.
PWI is based in the United States and makes no claim that the Services are appropriate for use elsewhere. If you access them from outside the U.S., you are responsible for complying with your local laws.
24Suspension and Termination
We may suspend or end your access to any or all of the Services, without notice, if you breach these Terms, misuse our products or communities, file an improper chargeback, or act in a way that could harm PWI or others. You may stop using the Services at any time. Ending an engagement is governed by your Engagement Agreement.
Sections that by their nature should survive termination will survive, including those covering licenses and their limits, intellectual property, payments, disclaimers, limitation of liability, indemnification and disputes.
25General Terms
These Terms, together with the Privacy Policy, the Disclaimer and any Engagement Agreement or offer and checkout terms, are the entire agreement between you and PWI about the Services and replace any prior understandings. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Headings are for convenience only.
